SABMiller: High Court Judgment
Dominic Chambers QC, instructed by Stephen Moses of Simmons & Simmons, represented a New York hedge fund in the Companies Court of the Chancery Division in the case of In re SABMiller plc [2016] EWHC 2153 (Ch).
At the hearing before Snowden J on 22 and 23 August 2016, the appropriate number of classes of SABMiller shareholders was determined for the purposes of voting on the widely publicised £79 billion takeover of SABMiller by Anheuser Busch InBev.
In this important judgment, the judge addressed a number of fundamental and novel legal issues relating to the relevant provisions of the Companies Act 2006 and the law and practice relating to schemes of arrangement.
