Rebecca Page acts for successful shareholders at trial in Lane v Lane [2024] EWHC 2616 (Ch)
On 21 October 2024 the High Court handed down judgment in Lane v Lane [2024] EWHC 2616 (Ch).
Following a 5-day trial, HHJ Keyser KC (sitting as a Judge of the High Court) allowed the First Claimant’s claim to disputed shares based on an oral agreement alternatively found that it would have succeeded based on a proprietary estoppel.
The Court further dismissed a petition brought by the Defendant alleging unfair prejudice arising from the company’s use of a Remuneration Trust tax scheme and rejected allegations that the director-shareholder respondents had acted in breach of their duties under s.174 Companies Act 2006.
